Position: Vice President – Treasurer

Department: Finance and Accounting

Reports To: President – Chief Executive Officer of Harmon S. Holding Company

The treasurer is responsible for corporate liquidity, investments, and risk management related to the company’s financial activities. This position is responsible for corporate financial and tax filings of the parent company. The Treasurer will assist with shareholder and Board of Director relations. This position will be available to provide support to the Chelsea Milling Accounting and Finance functions.

Principal Responsibilities

· Financial activities of the Harmon S. Holding Company and Samuel Investment Management LLC (“Companies”).

· Responsible for the cash management procedures of the Companies.

· Forecast cash flow positions, related borrowing needs, and fund available for investment.

· Ensure that sufficient funds are available to meet ongoing operational and capital investment requirements of Chelsea Milling Company.

· Maintain banking relationships.

· Manage the Companies’ investment activity. Fulfill responsibilities set forth in the Samuel Investment Management’s Investment Policy Statement. Maintain consistent ongoing communication with Investment Consultant regarding the investment portfolio.

· Arrange and manage debt financing.

· Monitor the activities of third parties handling outsourced treasury and investment functions on behalf of the Companies.

· Advise management on the liquidity aspects of its short- and long-range planning.

· Maintain a system of policies and procedures that impose an adequate level of control over treasury activities.

· Prepare and manage periodic reporting to the Investment Committee of the Board of Directors.

· Prepare and manage Companies’ external corporate financial filings.

· Develop and implement proactive tax planning strategies to minimize the Companies’ tax liabilities within legal and ethical boundaries.

· Stay up to date on changes in tax laws and regulations, and assess their impact on the Companies’ tax position.

· Evaluate and optimize the Companies’ financial transactions to maximize tax efficiency.

· Support federal and state corporate income and other tax filings, ensuring accuracy and timeliness.

· Responsible for calculating and completing the Companies’ shareholder distributions.

· Responsible for disseminating the Companies’ tax information to shareholders.

· Support the Companies’ real estate related activities.

· Assist in valuations of the Companies.

· Organize and maintain the Companies’ historical corporate records.

· Will perform these duties working twenty-five hours per week at the Companies’ offices over the course of four days.
